Contract Terms for Business Services
This Agreement is made effective as of [Date], by and between Unisensory LLC ("Service Provider") and [Client Name] ("Client").
1. Scope of Services
Unisensory LLC agrees to provide the Client with the following services, which may include but are not limited to:
Website design and development
Branding and graphic design
Marketing consultation
Digital content creation
Business support services
Etc
The specific services to be provided will be outlined in a separate project proposal or invoice, which is incorporated by reference into this agreement upon approval.
2. Payment Terms
Payment shall be made in accordance with the invoice or agreed-upon payment schedule.
A late fee of $3 per day or a $75 monthly late fee will be applied to any overdue balances.
Late fees are cumulative and non-negotiable.
No final deliverables or rights will be transferred until the total balance is paid in full.
Important: Rights to any websites, digital assets, or services rendered remain the sole property of Unisensory LLC until all payments, including any late fees, are made in full. This clause is binding as of the date of signing.
3. Refund Policy
No refunds will be issued once the project has begun, unless Unisensory LLC is unable to complete the agreed-upon services by the stated delivery date and the delay is not due to the Client.
Any delays caused by the Client, including but not limited to lack of communication, missing content, or delayed feedback, will not result in a refund under any circumstances.
4. Client Availability & Responsibilities
By signing this agreement, the Client agrees to the following terms regarding communication and project flow:
The Client must be available and responsive during the project timeline.
The Client must submit all necessary information and materials within 24 hours of request unless otherwise agreed in writing.
Revisions and deliverables must be reviewed and either approved or revised within 48 hours of delivery to avoid project delays.
Delays in response may result in timeline extensions or additional fees.
5. Revisions and Approvals
The project includes [insert number] rounds of revisions. Any additional revisions will be billed at the current hourly or per-revision rate.
Final approval must be submitted in writing before any product is considered complete or delivered.
6. Timeline and Delays
A detailed timeline will be agreed upon at project start.
Delays caused by the Client’s failure to provide content, assets, feedback, or approval will result in timeline extensions and may incur additional charges.
7. Intellectual Property
All work created by Unisensory LLC remains its property until full payment is received.
Upon full payment, the Client will receive rights to the final, approved deliverables, unless otherwise specified.
Unisensory LLC retains the right to showcase completed work in its portfolio, website, and marketing materials.
8. Confidentiality
Both parties agree to keep proprietary or sensitive information shared during this project confidential unless written permission is given.
9. Termination
Either party may terminate this agreement in writing.
In the event of termination by the Client, payment will still be required for any work completed up to the date of cancellation.
No refunds will be provided for partial or completed work unless due to breach of service by Unisensory LLC.
10. Limitation of Liability
Unisensory LLC shall not be liable for any indirect, incidental, or consequential damages arising out of or related to the services provided. Services are offered “as-is” unless otherwise specified in writing.
11. Governing Law
This agreement shall be governed by and construed in accordance with the laws of the State of [Your State].
12. Certification of Financial and Operational Readiness
By signing or otherwise agreeing to this contract, the Client hereby certifies that they:
Are financially capable of making the full payment agreed upon; and
Will be available to provide necessary information within 24 hours of request and
Will review and respond to revisions or approvals within 48 hours throughout the project timeline.
13. Questions and Clarifications
We understand that agreements can raise questions. We are open to any questions or clarifications you may have regarding this contract before signing. Please feel free to reach out so we can ensure mutual understanding and confidence in moving forward.

These late fees will be added to the balance due and must be paid in full.
Important Notice:
Rights to the website and its content are not legally transferred to you until the entire balance is paid in full, including any applicable late fees. This condition is binding as of the date this agreement is signed.The ownership and transfer of the website will be delayed until the total balance is paid in full, and all terms of the contract have been fulfilled to the satisfaction of Unisensory LLC.

WEBSITE MANAGEMENT AGREEMENT
This Agreement is made on [Date] between Unisensory LLC (“Service Provider”) and [Client Name] (“Client”).1. Scope of Services
Unisensory LLC agrees to provide ongoing monthly website management services for the Client’s website, including but not limited to:

Content updates and maintenance

Design adjustments and feature additions

Security checks and performance monitoring

Domain and hosting management (as applicable)

Troubleshooting and technical support
2. Client Responsibilities
The Client agrees to:

Provide all necessary files and information required for the management of the website.

Grant full administrative access and relevant role permissions within Wix to Unisensory LLC for the purposes of website management.

Respond to requests for information, approvals, and revisions within 48 hours to avoid delays.

Ensure timely monthly payment of invoices in accordance with this agreement.
3. Payment Terms

Website management services are billed at $[amount] per month, due on the 1st of each month.

This management plan does not include the Wix Studio Plus Plan fee charged directly by Wix. This is a separate cost billed by Wix and is the Client’s responsibility to maintain active.

Failure to pay the monthly management fee or the Wix Studio Plus Plan fee may result in suspension or termination of website services.

Reconnection or restoration of services after suspension may incur additional fees.
4. Wix Studio Plus Plan Clause

The Wix Studio Plus Plan provides essential hosting, domain connectivity, and features used to create and operate the Client’s site.

If the Wix Studio Plus Plan becomes delinquent or is canceled, the connected domain will be disconnected, and the website will no longer be publicly visible.

The Client understands that Unisensory LLC is not responsible for payment or renewal of the Wix Studio Plus Plan unless explicitly agreed to in a separate written agreement.
5. Term & Termination

This Agreement will remain in effect on a month-to-month basis until terminated in writing by either party with 30 days’ notice.

Unisensory LLC may terminate immediately for non-payment or breach of terms.
6. Limitation of Liability
Unisensory LLC will not be held liable for losses, downtime, or damages arising from third-party platforms (including Wix), hosting providers, or other services outside of its direct control.
7. Entire Agreement
This Agreement contains the entire understanding between the parties and may only be amended in writing and signed by both parties.
